1. The Service
CloudBooksPro+Ai provides an online workspace for recording and reviewing company, customer, supplier, item, invoice, supplier-bill, purchase-order, payment, and related business information. The current MVP also provides dashboard views and, with CBP-Pro access, report and customer-statement views.
The Service is a recordkeeping and operational tool. It is not a bank, payment account, payroll service, tax-filing service, audit service, law firm, or accounting firm. It does not provide financial, tax, accounting, investment, or legal advice.
2. Who may use the Service
The Service is intended for entrepreneurs and small businesses using it for legitimate business purposes.
Set the minimum age, permitted countries, consumer-versus-business eligibility, sanctions/export restrictions, and authority required for someone accepting these terms on behalf of a company.
3. Accounts and workspace access
- Users must provide accurate registration information and keep account access secure.
- Users are responsible for activity performed through their account unless they have notified support of suspected unauthorized access.
- Company owners and administrators are responsible for deciding who may join a company workspace and what role each member receives.
- Users must not share passwords or attempt to access another company’s records without authorization.
Confirm responsibility for compromised accounts, administrator actions, workspace ownership disputes, employee departures, and required security controls such as multi-factor authentication.
4. Customer data and third-party information
Users keep responsibility for the business records and files they enter into the Service (“Customer Data”). This may include personal information about customers, suppliers, employees, or other third parties.
Users must have the necessary rights and lawful authority to collect, use, and place Customer Data in the Service. Users are responsible for the accuracy of their records, their required notices and consents, and any tax or accounting retention obligations that apply to them.
CloudBooksPro uses Customer Data to operate the Service, provide support, secure accounts, and perform the processing described in the Privacy Policy.
Approve the final ownership, license, data-processing, confidentiality, export, portability, and deletion language. Determine whether a separate Data Processing Agreement is required.
5. Acceptable use
Users must not:
- use the Service unlawfully or to facilitate fraud, abuse, or infringement;
- upload malicious code or content they do not have the right to use;
- probe, bypass, disable, or interfere with authentication, company separation, rate limits, or security controls;
- access or attempt to access another user’s or company’s data without authorization;
- resell, copy, reverse engineer, or exploit the Service except where applicable law does not allow that restriction; or
- use the Service in a way that materially disrupts it for others.
Counsel should tailor the prohibited-use list to the markets served and approve enforcement, investigation, and reporting language.
6. Fees, CBP-Pro, and payment
No payment details are required to create an account in the current MVP. CBP-Pro is designed to unlock reports and customer statements when an eligible subscription is active or on trial. The application is prepared to send a user to a Lemon Squeezy checkout and receive subscription-status updates, but production checkout pricing is not currently configured in the project reviewed for this draft.
Before any paid purchase, the checkout should state the price, currency, billing interval, taxes, renewal terms, and how to cancel. CloudBooksPro does not collect card numbers directly in the application code reviewed for this draft.
Confirm the price, currencies, tax treatment, billing interval, trial terms, renewal disclosures, payment-provider role, invoicing process, failed-payment handling, price-change procedure, and whether the free/core access described on the sales page is permanent or promotional.
7. Cancellation and refunds
The Refund and Cancellation Policy forms part of these terms. The current product recognizes subscription cancellation events and may keep CBP-Pro access available until a recorded subscription end date. The current application does not provide a self-service cancellation button.
Approve the actual cancellation channel and refund rules before enabling paid sales. State whether cancellation is handled through Lemon Squeezy, by email, through a customer portal, or by another method.
8. Changes to the Service
CloudBooksPro may improve, add, change, or remove MVP functionality as the product develops. Any final terms should explain how users will be notified if a change materially affects paid access or Customer Data.
Approve notice periods, feature-deprecation commitments, and any rights triggered by material changes.
9. Suspension and termination
CloudBooksPro should be able to restrict access when reasonably necessary to protect the Service, comply with law, respond to abuse, or address non-payment. Users should have a documented way to stop using the Service and request account closure.
There is no complete account-closure workflow or written suspension policy in the current product. Define notice, cure periods, emergency suspension, data export, deletion timing, subscription effects, and appeal procedures.
10. Availability, warranties, and responsibility
The MVP may contain errors or experience interruptions. Users should review important figures and keep any records they are legally required to retain outside the Service.
Draft and approve all warranty disclaimers, service-level commitments, limitation of liability, exclusions of damages, indemnities, force-majeure provisions, and statutory-rights language for the actual jurisdictions served. No limitation or guarantee is asserted in this first draft.
11. Intellectual property
CloudBooksPro’s software, interface, branding, and documentation are intended to remain the property of their lawful owner. These terms do not transfer ownership of Customer Data to CloudBooksPro.
Identify the legal owner of the product and approve licenses for user access, feedback, documentation, brand use, and any open-source or third-party materials.
12. Governing law and disputes
Insert governing law, courts or arbitration process, informal dispute steps, consumer-law carve-outs, class-action terms if lawful and desired, and the operator’s notice address. This section must be drafted by counsel for the selected jurisdictions.
